Membership

BACKGROUND: The Sacramento Angels consists of accredited investors from the Sacramento region interested in providing angel financing to local emerging technology companies in a variety of business areas. The group was organized in the summer of 2000 and is the result of a merger of two previously existing angel investor groups.

MEMBERSHIP: Membership in the Sacramento Angels is open to accredited investors. Prospective members must certify their qualification as an accredited investor. The Sacramento Angels undertakes no independent verification of the status of the investor or his/her qualifications or expertise in investing.

Members are expected to commit to investing a minimum of $100,000 over a 2-year period, in minimum increments of $25,000 per investor. Private equity investments are by nature highly speculative, risky and illiquid. They may never present an opportunity to sell or recover what was invested. Members are discouraged from making any investment that they cannot afford to lose in its entirety, and to diversify the small portion of their capital that they allocate to private equity investments over a number of different companies

DUES: The Sacramento Angels is supported by dues from members. Annual dues are $500 per accredited investor. It is expected that the group will have 10 dinner meetings per year.

MEETINGS: Dinner meetings are generally $75 per dinner. Meetings may include a speaker on a topic of interest to the Angels. Dinner will generally begin at 7:00 p.m., at which time presenting companies are invited to join for dinner and their presentations. Not more than three companies will present each month. Following the presentations, company representatives are excused and the Angels discuss the presentations. At that time, Angels are asked to express their interest in following up with one or more of the companies. One Angel will be requested to follow with each company the day after the meeting to provide input

GUESTS: A member may bring a guest to two dinners as his/her guest at the cost of dinner for the guest. Thereafter, the individual may attend only upon payment of dues as described above.

ROSTER: The membership roster will not be disclosed to non-members.

SELECTION COMMITTEE: Companies are chosen to make presentations by a Selection Committee of the Angels. Members interested in serving on the selection committee may volunteer by contacting the selection committee chairperson listed in the organization section of this website.

COMMUNICATION: The group maintains this website on which it posts information about upcoming meetings and presenting companies. In order to keep costs to a minimum, business plans and company summaries are sent via e-mail.

MEMBERSHIP COMMITTEE: A membership committee has been established to recruit new Angels. Members interested in serving on the selection committee may volunteer by contacting the membership committee chairmain listed in the organization section of this website.

The Sacramento Angels (SA) will not provide investment advice, recommendations or guidance. Members who have interest in pursuing investment opportunities with presenting companies will explore these individually with the company after a general presentation. SA members will make their own decisions free of any reliance on the SA, its sponsors or its members. To qualify as an SA member, you must be an accredited investor as defined by the Securities and Exchange Commission (SEC) in Rule 501 of Regulation D.
